Terms of service

Effective 1 November 2026

These terms are an agreement between GRADUS EDUCATION PRIVATE LIMITED(“Gradus”, “we”) and the institute that signs up to use Gradus (“you”). By creating an account or using the service you agree to them on the institute’s behalf, and confirm you have the authority to do so. If a signed order form says something different, the order form wins.

1. The service

Gradus lets you schedule and run online classes, records attendance from the video provider, and calculates charges to families and pay owed to tutors from that attendance. It includes portals for your students and their parents under your institute’s name. We may improve and change the service over time; we will not remove a core feature you rely on without reasonable notice.

2. Your accounts and users

  • You decide who gets an account — staff, tutors, students and parents — and you are responsible for what they do in Gradus.
  • Keep sign-in details secure, and tell us promptly at privacy@gradusprep.com if you believe an account has been misused.
  • The information you give us about your institute must be accurate.

3. Your data

  • You own your data — everything you or your users put into Gradus, and the attendance and billing records produced from it. We use it only to provide the service to you, as described in our privacy policy.
  • For your students’ and parents’ data, you are the Data Fiduciary and we are your Data Processor. You are responsible for having a lawful basis to use it, including verifiable consent from a parent or guardian for students under 18 where the law requires it, and for telling them how their data is used.
  • Billing records can be exported from Gradus at any time, and we will provide a copy of the rest of your data on request.

4. Billing figures are yours to approve

Gradus calculates billable time, family charges and tutor pay from attendance reported by the video provider and the rates and policies you configure. These figures are a tool for your review, not an instruction to pay:

  • You are responsible for reviewing and approving them, and for the rates, rounding and other settings they are based on.
  • Gradus does not move money. Paying tutors, charging families, refunds, and any tax or employment obligations remain yours.
  • Attendance depends on the video provider’s records. If they are late, incomplete or wrong, the figures may be too; Gradus flags classes that look unusual so you can check them.

5. Fees

Fees are as agreed with you in writing, in an order form or invoice. Invoices are due within the period stated on them. If an invoice is significantly overdue, we may suspend the service after giving you written notice and a reasonable chance to pay. Fees exclude taxes, which are added where applicable.

6. Acceptable use

You and your users must not:

  • break the law, or infringe anyone’s rights, using Gradus;
  • use Gradus to send spam or to contact people who have not agreed to hear from you;
  • try to access another institute’s data, or test or bypass our security without permission;
  • disrupt or overload the service, or reverse-engineer it; or
  • resell the service without our agreement.

We may suspend an account that breaks these rules or puts the service or other institutes at risk. Unless it is urgent, we will tell you first and give you a chance to fix the problem.

7. Third-party services

Gradus relies on other providers, including for video classrooms and email. If you connect your own account with a provider, such as a video service, your use of it is also governed by that provider’s terms. We are not responsible for outages or changes on their side, though we will work to limit the effect on you.

8. Availability and warranties

We work to keep Gradus available, secure and accurate, but it is provided “as is” and “as available”. Except as set out in these terms or an order form, we make no promise that it will be uninterrupted or error-free, and no other warranties, to the extent the law allows.

9. Liability

To the extent the law allows:

  • Neither of us is liable to the other for indirect or consequential loss, or for lost profits, revenue or goodwill.
  • Our total liability arising from these terms in any twelve months is limited to the fees you paid us in that period.
  • Nothing here limits liability that cannot lawfully be limited, such as for fraud.

10. Ending the agreement

You can stop using Gradus at any time, subject to any minimum term in your order form. Either of us can end the agreement if the other seriously breaches it and does not put it right within 30 days of being told.

When the agreement ends, your access stops. Ask us within 30 days and we will provide a copy of your data; after that it is deleted within 60 days of the agreement ending, as our privacy policy describes.

11. General

We may update these terms. We will tell you about material changes at least 30 days before they take effect, and continuing to use Gradus after that means you accept them.

These terms are governed by Indian law, and disputes are subject to the exclusive jurisdiction of the courts at Delhi.
